About these Terms

These Terms of Service govern cleaning services provided by Young Professionals Commercial Cleaning LLC, doing business as Young Professionals Commercial Cleaning, referred to here as YPCC, we, or us. They apply to the general contractor, property manager, building owner, or business that engages us, referred to here as the Client or you.

Our services are offered to businesses and commercial entities. They are not offered to consumers for personal, family, or household purposes.

Where a signed proposal, service agreement, purchase order, or subcontract exists between us, the documents control in this order:

  • A signed written agreement or subcontract between YPCC and the Client
  • The signed proposal or estimate for the specific project
  • These Terms of Service

If a signed document is silent on a point, these Terms fill the gap. Nothing on this website is an offer to contract. Work begins only on a written acceptance.

Estimates, proposals, and acceptance

Estimates are based on the scope, square footage, site conditions, schedule, and access described to us at the time of the request. An estimate is valid for 30 days from its date unless it says otherwise.

A proposal becomes binding when you accept it in writing, which includes email, a signed proposal, or an executed purchase order or subcontract. Verbal approvals may be relied on to schedule crews but do not replace written acceptance.

Where conditions found on site differ materially from what was described, we will notify you before proceeding and provide a revised price for your approval.

Scope of work and changes

We perform the scope stated in the accepted proposal. Common scopes include rough cleaning, progress cleaning, final and detail cleaning, touch-up cleaning, routine janitorial maintenance, deep cleaning, sanitization and disinfection, floor care, and interior window cleaning.

Anything not listed in the accepted scope is additional work. Additional work requires a written change order stating the added scope and price before we perform it. We do not perform additional work on verbal instruction from site personnel who are not authorized to bind the Client.

Repeat cleans on active sites. Construction sites generate new dust and debris after a clean is complete. Once we have completed and you have accepted an area, further trade work in that area is a new scope and is priced as a re-clean, not a warranty correction.

Site access and site readiness

You are responsible for providing safe, lawful, and timely access to the areas to be cleaned. This includes keys, fobs, badges, gate and alarm codes, elevator or hoist access, parking, and coordination with your site superintendent.

An area is ready for cleaning when it is substantially free of construction materials, tools, equipment, and trade debris, and when the following are available and functioning:

  • Permanent or temporary electrical power at the work area
  • Running water, where the scope requires it
  • Adequate lighting for detail work
  • Climate control sufficient for surfaces to dry, where the scope requires it
  • A designated location for waste and debris removal

If a crew arrives and the area is not ready, or access cannot be provided, we will contact your site contact. Where the delay exceeds 30 minutes or the visit cannot proceed, a trip charge of the crew minimum for that visit may apply and the work will be rescheduled.

Access credentials you give us are handled under the practices described on our Customer Care page.

Our crews

Work is performed by YPCC personnel, which may include employees and independent contractors engaged by us. We select who performs the work and how it is performed, and we supervise our own crews.

Our crews are not your employees, agents, or borrowed servants. You do not direct the means or methods of their work. Where your site requires orientation, site-specific safety training, badging, or sign-in procedures, we will comply with them.

We require our independent contractors to carry the insurance described in Section 06 and to follow the site safety practices described in Section 07. Certificates for a specific crew can be requested in advance of mobilization.

Insurance

YPCC maintains commercial general liability coverage. A certificate of insurance naming your entity as an additional insured, where your contract requires it, is provided before the first day on site.

Coverage types and limits are stated on the certificate issued by our carrier, which is the authoritative record for your compliance file. Request a certificate for your project and we will have it to you, usually within one business day.

If your project requires coverage beyond what we carry, additional insured endorsements, waivers of subrogation, or specific limits, tell us before work is scheduled. Additional coverage may change the price.

Safety, and what we do not handle

Our crews work to OSHA-compliant site safety practices and coordinate with your site superintendent. We follow your site-specific safety plan where one is in effect.

We do not perform, and our scopes exclude, the following unless separately contracted in writing with appropriate licensing:

  • Abatement or handling of asbestos, lead, mold, or other regulated hazardous materials
  • Biohazard, sewage, crime scene, or bodily fluid remediation
  • Removal or disposal of hazardous waste, chemicals, paints, solvents, or fuels
  • Structural debris removal, demolition, or dumpster provision
  • Work at height requiring scaffolding or equipment we have not been contracted to provide
  • Pest control, extermination, or wildlife removal
  • Repair, refinishing, or restoration of damaged or defective surfaces
  • Moving or disconnecting equipment, fixtures, or IT hardware

If a crew identifies a suspected hazardous condition, work in that area stops and we notify your site contact. We are not responsible for delays caused by conditions of that kind.

Surfaces, finishes, and pre-existing conditions

Construction sites contain new, specialty, and sometimes unlabeled finishes. Where a surface requires a specific product, method, or manufacturer-approved process, you are responsible for telling us before work begins and for providing the manufacturer's care instructions.

We are not responsible for:

  • Damage to surfaces that were already damaged, defective, improperly installed, or not fully cured
  • Results on surfaces where you or your architect specified a product or method that we followed
  • Stains, etching, adhesive residue, overspray, or paint that cannot be removed without damaging the underlying surface
  • Marks, scratches, or wear present before our crews mobilized

Where a result cannot be achieved without risk to the surface, we will stop and tell you rather than proceed.

Payment, deposits, and late charges

Unless the accepted proposal states otherwise:

Deposit30% of the contract price is due on projects over $2,500, payable before crews mobilize.
Invoice termsNet 30 days from the invoice date.
Progress billingProjects running longer than two weeks may be invoiced on a progress basis.
Late charge1.5% per month on balances past due, or the maximum rate permitted by Virginia law, whichever is less.
Returned payment$35 per returned check or failed transfer.

Pay-when-paid or pay-if-paid conditions do not apply unless they appear in a signed subcontract between us. Disputed line items do not excuse payment of undisputed amounts.

Where a balance remains unpaid past terms, we may suspend further work on notice to you and pursue collection. You are responsible for reasonable costs of collection, including attorney fees and court costs, to the extent permitted by law and awarded by a court. We reserve all rights and remedies available to us under Virginia law.

Quality concerns and re-cleans

Our priority is that the work is right before we leave. A walkthrough with your site contact at completion is encouraged and is the fastest way to resolve anything outstanding.

If you identify work within the accepted scope that was not performed to standard, notify us within 24 hours of completion. We will return and address the identified areas at no additional charge, subject to the area being available and in the same condition.

After that window, or where other trades, occupants, or weather have affected the area, the work is treated as a new scope. Details are on our Customer Care page.

Damage and loss claims

Report any claim of property damage or loss to us in writing within 48 hours of the work being performed, with photographs and a description of the affected area. Prompt notice lets us inspect the condition before the site changes.

Claims reported after that window, or after the affected area has been altered, repaired, or occupied, cannot be verified and may not be accepted.

We do not accept responsibility for cash, jewelry, firearms, prescription medication, collectibles, negotiable instruments, or other items of unusual value left in an unsecured area. Secure those items before a scheduled visit.

Non-solicitation of personnel

Our crews are trained, vetted, and coordinated at our cost. During the term of our engagement and for 12 months after the last work performed, you agree not to directly or indirectly solicit, hire, or engage any YPCC crew member or personnel introduced to you through our work, whether as an employee, contractor, or through a third party.

This does not restrict a general public job posting that is not directed at our personnel.

If you want to hire someone who has worked on your site through us, talk to us first. We would rather reach an arrangement than a dispute.

Scheduling, cancellation, and termination

Construction schedules move. We will work with you on reasonable rescheduling. The following apply unless your signed agreement says otherwise:

Rescheduling a one-time jobNotice of 48 hours or more, no charge. Less than that, a scheduling charge of the crew minimum for that visit may apply.
Cancelling a one-time jobDeposit treatment is described on the Customer Care page.
Recurring serviceEither party may end the arrangement with 30 days written notice. Work performed through the end date is invoiced normally.
Termination for causeEither party may terminate immediately for a material breach that is not cured within 10 days of written notice.

We may suspend or end service where a site presents a safety risk to our crews, where access is repeatedly unavailable, or where an account is past due.

Confidentiality and site information

We treat your site information, floor plans, access credentials, tenant names, and project details as confidential. We do not disclose them outside our crews and the personnel who need them to perform the work.

We photograph completed work for quality control and project records. Those photographs are internal records. We do not publish site photographs, name your project, or identify your client without your written permission. Where your contract or your owner's contract restricts site photography, tell us and we will stop.

We ask the same of you. Our pricing, proposals, and methods are our confidential business information.

Limitation of liability

Read this section. It limits what we can be held responsible for.

To the fullest extent permitted by Virginia law, YPCC's total liability arising out of or relating to the services, whether in contract, tort, or otherwise, is limited to the amount you paid us for the specific services giving rise to the claim.

YPCC is not liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, delay damages, liquidated damages assessed against you by another party, loss of use, or diminution in value, even where we were advised such damages were possible.

Nothing in this section limits liability that cannot be limited under Virginia law, including liability for personal injury or death caused by negligence, or for fraud.

Any claim relating to the services must be brought within 12 months of the date the work giving rise to the claim was performed, or it is waived, to the extent Virginia law permits the parties to shorten the limitations period.

Indemnification

Each party will indemnify and hold the other harmless from third party claims, damages, and reasonable costs to the extent caused by that party's own negligence or willful misconduct, or its breach of these Terms.

Neither party indemnifies the other for the other party's own negligence. Where your subcontract contains an indemnity provision, that provision controls to the extent it is enforceable under Virginia law.

Events beyond reasonable control

Neither party is liable for a failure or delay caused by events outside its reasonable control, including severe weather, natural disaster, fire, flood, epidemic or public health order, labor disruption, utility or telecommunications failure, civil unrest, acts of government, or the failure of another trade or supplier on your site.

The affected party will give notice as soon as practical and the schedule will be adjusted by agreement. Amounts already earned remain payable.

Governing law, venue, and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws rules.

Before filing suit, the parties will attempt to resolve the dispute in good faith, including at least one conversation between people with authority to settle. Either party may propose mediation in the Richmond, Virginia area, and the cost is shared equally if both agree to it.

If a dispute is not resolved, the parties consent to exclusive jurisdiction and venue in the state courts serving Henrico County, Virginia, being the General District Court of Henrico County for matters within its jurisdictional limit and the Circuit Court of Henrico County for all others. Each party waives any objection to that venue as inconvenient.

Where you and YPCC have signed a subcontract that contains its own dispute provisions, those provisions control over this section.

General

Notices

Notices under these Terms are effective when sent to info@youngprocleaning.com or to Glen Allen, Virginia, and to the Client at the address or email on the accepted proposal.

Assignment

Neither party may assign these Terms without the other's written consent, except to a successor in connection with a merger or sale of substantially all assets.

Severability

If a provision is held unenforceable, it is modified to the minimum extent necessary to make it enforceable, or severed, and the remainder stays in effect.

No waiver

Not enforcing a provision on one occasion does not waive it on another.

Entire agreement

These Terms, together with the accepted proposal and any signed agreement, are the entire agreement between us on their subject matter and replace prior discussions.

Changes to these Terms

We may update these Terms. The version in effect on the date your proposal was accepted governs that project. Material changes are reflected in the Last updated date at the top of this page.

Questions

Something here need clarifying?

If a term in this document does not fit how your project is structured, say so before work is scheduled. Most of it can be addressed in the proposal.
